Buying an established company has many benefits, the most important of which is that you can begin trading right away. When you buy an existing company, you don’t have to wait for the property to be fitted out; you can start earning money right away from your existing customer base. This usually comes at a cost (the business’s purchasing price), but if you can find a good deal, it’s always a good idea to go this route.

Step 1 – Find a business that interests you: Most reliable real estate firms have company for sale listings that you may be interested in. The current state of the business, as well as the lease and financial details, are normally included in the listings.

Step 2 – Check the lease of the current Business that you want to buy: It is better to check about Due Diligence when you set up your business. Due diligence is the examination or exercise of care that a fair company or individual is required to perform before entering into an arrangement or contract with another entity, or performing an act with a certain level of care.

Due Diligence is an important step in the process. The new owner must ensure that the current lease agreement permits the transfer of the business. Coordinate with the property owner and negotiate a new lease agreement if the existing lease does not provide for the transition to a third party. The new lease agreement could alter the rental price.

Keep in mind that before a company opens to the public, it should have gone through the process of consulting with the property owner to see if the lease can be transferred. In theory, the current business owner cannot sell the company if they are aware that the contract does not allow for the sale. It is, however, important that you double-check. Your real estate agent will help you negotiate the new lease conditions. They can also search for another venue if it isn’t negotiable. In the case of a franchise, venue or lease arrangement are not taken into account. You are free to set up shop wherever you want.

Step 3 – Sign the new lease or assignment of lease rights: Once the property owner has agreed to the lease transfer, interested parties sign a company transfer agreement. This is made possible by the real estate agency. They review the lease papers, coordinate/negotiate with the landlord, and prepare the requisite documents for signature. When you leave it to the professionals, it’s painless and hassle-free.

Check tax receipts and other contracts from suppliers if you want to keep the existing business name: The main benefit of holding the current company name is that the incorporation process is quicker, taking just 3-5 weeks on average. You’ll still keep customers who are already loyal to that specific brand or name. If you’re buying an established company, make sure the previous owner’s tax payments are current. Check for any outstanding debts with current vendors as well.

Step 5 – Hire or re-train existing staff: You have a young population of Cambodians eager to make a name for themselves, depending on the degree of revamping you decide to make on your market. The workforce is diverse; all you have to do now is find the right people.

One of the most important things you’ll need as a new foreigner in Phnom Penh is employment. Continue reading to learn about work permits, the labor market, and what kind of salary you would be able to earn to help you settle into your new life. The followings are the steps to get a proper job for you.

Seeking Suitable Position

Before you go, it’s a good idea to start looking for a workplace in Phnom Penh. The CamHR, Bong Thom Classifieds, and The Phnom Penh Post are only a few of the work posting websites in Cambodia. Facebook groups like Phnom Penh Jobs and Phnom Penh Jobs for Foreigners are other great way to find jobs in the region. You may also contact fellow expats in Phnom Penh to learn more about who is recruiting and what types of jobs are available.

You are likely to find something in Phnom Penh that fits your needs, depending on your previous work experience and the type of job you want. When looking for work in Phnom Penh, most expats take one of two paths. The first is to find work before arriving in the region. These are normally high-paying positions that are mostly located abroad, and they help you obtain a visa and work permit. The second, more popular route is to travel to Phnom Penh and look for work there. This is more time consuming and exhausting, but it also produces positive outcomes.

Expats are only working in a small number of local work sectors. NGOs, English teachers, the service sector, and businesses are the most popular.

Your pay and salary can vary depending on the company you work in. Teaching, NGO work, and service sector jobs pay on average USD800- 1,500 per month, while more lucrative business jobs pay USD1,000- 3,000 per month.

Getting a work permit

You will need to apply for a work permit from the government after you have found a job, which you can do at the local Sangkat (district government building) or via a third-party service. Working for a calendar year costs around USD100, and working for the current year costs another USD100. Details and guidelines change frequently, so keep an eye on the Cambodia job and visa community on Facebook for the most up-to-date information.

Scammers are popular in Cambodia, so be aware of what scams and suspicious operators are up to before you travel there. When traveling in Southeast Asia, be on the lookout for something that seems too good to be true, as there are plenty of scams waiting to catch unsuspecting visitors who aren’t paying attention. Here are Tuk-tuk scams in Cambodia we need to know before going to Cambodia.

The tuk-tuk is a three-wheeled vehicle that looks like a bicycle with a carriage attached to the rear. These vehicles are often propelled by an engine, and other times by pedal power alone. They are the most popular mode of transportation in towns and cities. They’re also a common mode of transportation at Angkor Wat.

As a tourist, you will sometimes come across a driver who is paid to bring you to a specific shop/temple/restaurant/hotel/bar. You can find yourself thousands of miles from your intended destination, under pressure to purchase, eat, or stay. That’s not to suggest you shouldn’t pursue this conventional Asian mode of transportation if you really want to but do so safely, either by sharing with a fellow tourist or traveling partner you know or by taking a ride along a path you’ll recognize. That way, if you get off the main road, you’ll be able to spot the danger signs. Otherwise, relax and enjoy the detour, but be cautious of falling for the hoax.

A joker said:

The most scam in Cambodia is the monkey temple. You can be sure that you’ll get scammed when you go through that street, and all of the little monkeys will be trying to steal your wallet!

Some tips to avoid scams

Since English is the most widely spoken language on the planet, you’ll find that most people who meet you will immediately begin speaking to you in English. It’s easy to respond with a retort, particularly if you’re asked a question. But beware: criminals and scam artists are well aware of this, and conversing with one of them is tantamount to giving a shortcut to your bank card.

Once a scammer feels they’ve made a bond with you, they’re unlikely to desert you, and if one scammer shows interest, others may follow. To prevent this situation, don’t answer any questions that might lead to more problems. For example, if you’re asked where you’re staying in Phnom Penh, it’s probably not a good idea to tell your hotel and room amount.

Pretend you don’t know English if you think you’re being conned and can keep a straight face. It’s crazy how easily petty criminals would desert you if they can’t interact with you.

In Cambodia, there are no restrictions on a company being 100 percent foreign-owned as long as no land is involved. To start a business in Cambodia, you’ll need a valid visa, a work permit, and a Cambodian bank account with a minimum balance of US$1,300 (despite the fact that the law only requires US$1,000 in capital).

The Ministry of Commerce unveiled an online business registration system in December 2015 as part of an effort to simplify bureaucratic procedures. The aim of this online registration system is to make the process of registering a company in Cambodia more transparent and effective, attracting more investors in the process.

It is now possible to obtain a company in Cambodia online via the Ministry of Commerce Business Registration website. If you don’t finish your application within 15 days of starting it, it will be deleted from the system. However, as long as you have all of the necessary documentation and follow these simple steps, registering your business online is relatively simple:

  • Create a user account on the website
  • Reserve a company name in both English and Khmer, and pay a service fee for this
  • Register your company and pay another service fee for this
  • Print your certificate of incorporation

It’s best to know your company’s single share worth and the name of your company in both English and Khmer before you begin to speed up the operation. One of the most significant roadblocks for many foreigners appears to be choosing a suitable Khmer name for their company, as the Ministry of Commerce appears to have rejected certain Khmer names because they did not have the same meaning as the English name.

  • You should have the following documents ready to submit to your online application:
  • Proof of identification, such as a valid passport
  • A medical certificate showing you are in good health
  • Proof of your company’s location, such as a utility bill or a rental agreement
  • A letter, signed by a director of the company, that declares you have no criminal record, as well as a police report from your home country identifying you as having no history of criminal activity
  • A list of staff, which states the number of male and female employees, and local and foreign staff
  • Your company’s memorandum and articles of association

The cost of registering a company in Cambodia is approximately US$430. Only three banks in Cambodia are authorized to process registration fees: ACLEDA Bank, FTB Bank, and Canadia Bank. To pay the service fees, you’ll need to open an account with one of these banks. However, only ACLEDA Bank account holders will be able to pay the fees directly online. If you have an account with FTB or Canadia, you will need to complete payment in a branch. You can obtain a number of documents after registering your business with the MOC, including a business license, a certificate of incorporation, and Articles of Association.

You must then register your business with the General Department of Taxation (GDT) within 15 calendar days of registering, in order to receive a tax patent and a VAT certificate. After that, you’ll need to go to the Ministry of Labour and Vocational Training (MLVT), which will register your business under the Labour Law and issue work permits and job cards to foreign staff. You must also register the business with the National Social Security Fund if it has more than eight employees.
