Cambodia the Next Asian Tiger

Ford Motors recently announced that it is building a $21 million assembly plant in the Pursat province of Cambodia. And the recent virtual business summit showcased the ease of doing business in Cambodia experienced by U.S. companies in a range of industries—from energy to manufacturing, and financial services to health care.

The Asian Development Bank first dubbed Cambodia as “Asia’s New Tiger” in 2016. Two years earlier, the World Bank said that, from 2004 through 2011, “Cambodian economic growth was tremendous, ranking amid the best in the world. Moreover, household consumption increased by nearly 40 percent. And this growth was pro-poor—not only reducing inequality, but also proportionally boosting poor people’s consumption further and faster than that of the non-poor.”

Cambodia has expanded its economy by an annual average rate of 7 percent. But, just like the original Asian Tigers of the 1960s—South Korea, Taiwan, Hong Kong and Singapore—Cambodia’s growth has been strategic and stable. We have not suffered a recession over the last 30 years, even during the Asian financial crisis of the 1990s, the bursting of the dot-com bubble in 2000 and the financial meltdown of 2008.

Cambodia’s conversion to a market economy has been well planned, with growth accompanied by significant social progress. Today, about 13.5 percent of Cambodians live below the poverty line, still too high but a far cry from the desperate poverty we knew some 40 years ago.

In Cambodia, there are no restrictions on a company being 100 percent foreign-owned as long as no land is involved. To start a business in Cambodia, you’ll need a valid visa, a work permit, and a Cambodian bank account with a minimum balance of US$1,300 (despite the fact that the law only requires US$1,000 in capital).

The Ministry of Commerce unveiled an online business registration system in December 2015 as part of an effort to simplify bureaucratic procedures. The aim of this online registration system is to make the process of registering a company in Cambodia more transparent and effective, attracting more investors in the process.

It is now possible to obtain a company in Cambodia online via the Ministry of Commerce Business Registration website. If you don’t finish your application within 15 days of starting it, it will be deleted from the system. However, as long as you have all of the necessary documentation and follow these simple steps, registering your business online is relatively simple:

  • Create a user account on the website
  • Reserve a company name in both English and Khmer, and pay a service fee for this
  • Register your company and pay another service fee for this
  • Print your certificate of incorporation

It’s best to know your company’s single share worth and the name of your company in both English and Khmer before you begin to speed up the operation. One of the most significant roadblocks for many foreigners appears to be choosing a suitable Khmer name for their company, as the Ministry of Commerce appears to have rejected certain Khmer names because they did not have the same meaning as the English name.

  • You should have the following documents ready to submit to your online application:
  • Proof of identification, such as a valid passport
  • A medical certificate showing you are in good health
  • Proof of your company’s location, such as a utility bill or a rental agreement
  • A letter, signed by a director of the company, that declares you have no criminal record, as well as a police report from your home country identifying you as having no history of criminal activity
  • A list of staff, which states the number of male and female employees, and local and foreign staff
  • Your company’s memorandum and articles of association

The cost of registering a company in Cambodia is approximately US$430. Only three banks in Cambodia are authorized to process registration fees: ACLEDA Bank, FTB Bank, and Canadia Bank. To pay the service fees, you’ll need to open an account with one of these banks. However, only ACLEDA Bank account holders will be able to pay the fees directly online. If you have an account with FTB or Canadia, you will need to complete payment in a branch. You can obtain a number of documents after registering your business with the MOC, including a business license, a certificate of incorporation, and Articles of Association.

You must then register your business with the General Department of Taxation (GDT) within 15 calendar days of registering, in order to receive a tax patent and a VAT certificate. After that, you’ll need to go to the Ministry of Labour and Vocational Training (MLVT), which will register your business under the Labour Law and issue work permits and job cards to foreign staff. You must also register the business with the National Social Security Fund if it has more than eight employees.

The Single Portal Advantage: Digital System Boosts Online Business Registrations and Transparency in Cambodia

The Online Business Registration System (OBRS), accessible through The Single Portal at registrationservices.gov.kh, has proven instrumental in streamlining business registrations, boasting over 31,000 successfully registered businesses with a combined capital exceeding $8.9 billion. Launched on June 15, 2020, the initial phase of the portal integrated six crucial ministries and state-run institutions, including Finance, Interior, Commerce, Labour Ministries, the General Department of Taxation (GDT), and the Council for the Development of Cambodia (CDC).

Subsequent to the success of phase I, the government introduced phase II on September 15, 2021, and Phase III on June 22, 2023, expanding the platform to incorporate additional ministries and institutions. The Single Portal’s official social network reported that, as of midnight on November 5, the platform had successfully registered 31,027 companies, marking a significant increase from the beginning of the year when 20,693 companies with a total capital of over $5.81 billion had been listed with the service—a notable surge of 17,164 companies. Impressively, only two applications have been rejected thus far.

The registered share capital is categorized by business activity, showcasing the advantage of The Single Portal’s comprehensive approach. Building construction claims the majority at $1.1 billion (12.35%), followed by hotels and restaurants at $948 million (10.65%), real estate at $944 million (10.6%), accommodation services at $897 million, management consulting at $488 million (5.48%), and the manufacturing of wearing apparel (excluding fur) at $469 million (5.26%). The remaining category, labeled as ‘Others,’ constitutes $4.96 billion, or 55.67% of the total.

Ownership distribution reveals that women own 38% of these registered companies, while men own 62%. Chhin Ken, president of the Cambodia Digital Tech Association, emphasized the considerable support the system has garnered from business owners. He anticipates a continued rise in company enrollments as the process simplifies and the public’s understanding of technological systems and legislation improves.

Ken stated, “I have observed a significant increase in the number of companies applying for filing following the introduction of the platform. This surge can be attributed to the fact that a majority of business owners are now well-versed in using technology to register their new companies.” He underscored the government’s active promotion of technological usage to align with global developments.

Economics researcher Hong Vanak from the Royal Academy of Cambodia commented on the comprehensive business registration effort’s benefits for both the government and the private sector. He believes it will provide a clearer understanding of the variety and number of businesses in operation, enabling authorities to develop informed policies for tax determination, training courses, and supportive measures.

Vanak highlighted that the uptick in registrations reflects business owners’ growing awareness of their legal obligations, stating, “Registration data will enhance transparency in competition, aided by the simplification of the registration procedure.” The Single Portal’s advantage lies not only in its digital efficiency but also in its contribution to increased transparency and informed business practices.
